By accessing or using the services provided by Valpas Enterprises Oy ("Valpas", "we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms. If you do not agree to these Terms, do not access or use our Services.
Valpas provides a bed bug monitoring application and related professional services designed for hospitality providers, including hotels and accommodation businesses (the "Services"). The Services enable customers to monitor, detect, and prevent bed bug infestations in their premises through Valpas hardware, software, and expert support. The specific scope of Services is defined in the applicable order form or service agreement entered into between Valpas and the customer.
The Services are intended exclusively for business customers (B2B). By using the Services, you represent and warrant that you are a legal entity duly organized and validly existing under applicable law, and that your representative entering into these Terms is duly authorized to do so. The Services are not directed to consumers or individuals acting in a personal capacity.
To access certain features of the Services, you must register for an account. You agree to provide accurate, current, and complete information during registration and to keep your account information up to date. You are responsible for safeguarding your account credentials and for all activities that occur under your account. You must notify Valpas immediately of any unauthorized use of your account or any other breach of security. Valpas will not be liable for any losses arising from unauthorized use of your account.
Access to the Services is provided on a subscription basis. The applicable fees, payment terms, and subscription period are set out in the order form or service agreement between Valpas and the customer. All fees are exclusive of applicable taxes, which are the customer's responsibility.
Valpas reserves the right to modify its pricing with reasonable advance notice to customers. Continued use of the Services after a price change takes effect constitutes acceptance of the new pricing. Failure to pay fees when due may result in suspension or termination of access to the Services.
You agree to use the Services only for lawful purposes and in accordance with these Terms. You shall not: (i) use the Services in any way that violates applicable laws or regulations; (ii) attempt to gain unauthorized access to any part of the Services or related systems; (iii) reverse engineer, decompile, or disassemble any software component of the Services; (iv) resell, sublicense, or otherwise make the Services available to third parties without Valpas's prior written consent; (v) use the Services to transmit harmful, offensive, or disruptive content; or (vi) interfere with or disrupt the integrity or performance of the Services.
Valpas and its licensors retain all right, title, and interest in and to the Services, including all software, hardware designs, algorithms, user interfaces, trade secrets, trademarks, and other intellectual property rights. These Terms do not grant you any rights to Valpas's intellectual property except for the limited license to use the Services as expressly set out herein. Any feedback, suggestions, or improvements you provide regarding the Services may be used by Valpas without restriction or obligation to you.
Valpas processes personal data in connection with the provision of the Services in accordance with its Privacy Policy, available at valpas.io/privacy-policy. To the extent that Valpas processes personal data on behalf of the customer as a data processor, the parties shall enter into a separate data processing agreement as required by applicable data protection laws, including the General Data Protection Regulation (GDPR).
Each party agrees to keep confidential all non-public information disclosed by the other party in connection with these Terms that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and circumstances of disclosure ("Confidential Information"). Neither party shall use Confidential Information of the other party for any purpose other than to exercise its rights or fulfill its obligations under these Terms. The confidentiality obligations do not apply to information that: (i) is or becomes publicly known through no breach of these Terms; (ii) was rightfully known before disclosure; (iii) is independently developed without use of Confidential Information; or (iv) is required to be disclosed by law or court order.
To the maximum extent permitted by applicable law, Valpas's total aggregate liability to you for any claims arising under or related to these Terms or the Services, whether in contract, tort, or otherwise, shall not exceed the fees paid by you to Valpas in the twelve (12) months preceding the event giving rise to the claim. In no event shall Valpas be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or goodwill, even if Valpas has been advised of the possibility of such damages.
Valpas warrants that the Services will perform materially in accordance with the applicable documentation under normal use. Except as expressly stated in these Terms, the Services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. Valpas does not warrant that the Services will be uninterrupted, error-free, or completely secure. Valpas makes no warranty that the Services will eliminate all bed bug infestations or guarantee any specific outcome.
Either party may terminate these Terms or any applicable service agreement upon written notice in accordance with the terms set out in the applicable order form or service agreement. Valpas may also suspend or terminate your access to the Services immediately if you breach any material provision of these Terms and fail to cure such breach within fourteen (14) days of written notice.
Upon termination, your right to access and use the Services will cease immediately. Provisions of these Terms that by their nature should survive termination shall survive, including intellectual property rights, confidentiality, limitation of liability, and governing law.
These Terms shall be governed by and construed in accordance with the laws of Finland, without regard to its conflict of law provisions. Any disputes arising out of or in connection with these Terms that cannot be resolved amicably shall be finally settled by the District Court of Helsinki (Helsingin käräjäoikeus) as the court of first instance.
Valpas reserves the right to modify these Terms at any time. We will provide reasonable advance notice of material changes, such as by posting an updated version on our website or by notifying you via email. Your continued use of the Services after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must discontinue use of the Services.
